The Role:
Legal Counsel based in Berlin to work with Investments and Portfolio teams. A hands-on in-house role driving the entire life cycle of projects from evaluating and acquiring projects, to development , construction and operation of projects.
The Successful candidate will likely have:
<ul>
<li>Maximum 3 years post qualifying experience in the renewable energy sector in Germany, whether in-house at a leading energy company or in a tier 1 transactional practice area.</li>
<li>Proven track record of significant contribution to the successful completion of numerous transactions or projects.</li>
<li>Fluency in German and English (written and oral).</li>
<li>Provision of legal support in relation to your renewable projects in Germany from evaluation and acquisition through to construction and operations and across a variety of legal practice areas covering the entire project life cycle; M&amp;A, finance, commercial contracts, public law, regulatory, disputes etc.</li>
<li>Reviewing and negotiating a range of project/commercials contracts, including power purchase agreements, land lease agreements, consultancy agreements, joint venture agreements and financing agreements.</li>
<li>Building strong working relationships with internal stakeholders through provision of a high level of service and prompt, practical and commercially focussed advice.</li>
<li>Advising on company law, corporate governance, and legal compliance activities for our entities in Germany.</li>
<li>Advising on a wide range of legal matters affecting the business operations in Germany.</li>

Key Responsibilities:

<li>Manage EPC contracts, optimizing time, cost, and quality.</li>

<li>Monitor project progress (physical and financial), analysing deviations and implementing corrective actions.</li>

Candidate Profile

<li>Fluent Italian &amp; English (additional languages are a plus).</li>
<li>Strong leadership, problem-solving, and stakeholder management skills.</li>

Qualifications:

Key Responsibilities:

Draft, review, and negotiate complex contracts, including LNG SPAs, EPC contracts, O&M agreements, and structured fuel procurement arrangements.
Manage legal risks related to large-scale energy projects, including offshore and power grid developments.
Oversee dispute resolution and litigation strategies, focusing on arbitration and mediation where required.
Support M&A activities, including due diligence and integration of energy assets.
Collaborate with government agencies, regulators, and industry stakeholders on legal and regulatory challenges.


The Ideal Candidate:

Juris Doctor (or equivalent) and qualified to practice law in relevant jurisdictions.
10 years of legal experience in oil and gas, offshore projects, or energy infrastructure, ideally within a publicly listed company or a top-tier law firm.
Proven experience in regulatory compliance and risk mitigation for oil and gas or power grid projects.
Ability to advise executive leadership and boards on governance, risk management, and strategic legal matters.
Excellent leadership, problem-solving, and negotiation skills, with the ability to lead cross-functional teams.
Familiarity with US market dynamics and international energy frameworks is a strong advantage.
Proven experience in project finance, IPO's M&A, and complex contract negotiations within the energy or infrastructure sectors.
